Welcome to Behavioral CIO. These Terms of Service (“Terms”) govern your access to and use of our website (the “Site”) and the behavioral financial coaching and advisory services (the “Services”) provided by Behavioral CIO (“we,” “us,” or “our”) to high-net-worth individuals, families, and small institutions. By accessing or using the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

Important Note: These Terms are based on draft language and are provided for informational purposes only. They have not yet been reviewed or approved by legal counsel. We strongly recommend consulting with a qualified attorney before relying on or implementing these Terms. Behavioral CIO reserves the right to update or modify these Terms at any time.

1. Services Provided

We offer specialized behavioral financial coaching and advisory services tailored for high-net-worth individuals, families, and small institutions. These Services focus on addressing behavioral patterns, emotional influences on financial decision-making, cognitive biases, risk management, discipline building, legacy planning, team dynamics, analytics, and governance frameworks.

Our Services are delivered through tiered programs (such as Foundation Reset, Discipline Mastery, Advanced Legacy for individuals/families, and Bias Audit, Analytics Optimization, Full Framework for small institutions), which may include:

  • One-on-one or team-focused virtual coaching sessions.
  • Customized exercises, questionnaires, guided reviews, and educational overviews of behavioral biases and emotional triggers.
  • Analytics, performance attribution, risk optimization tools, simulations (e.g., Monte Carlo), dashboards, investment policy statement (IPS) development, case studies, and personalized reports or insights.
  • Other deliverables designed to enhance behavioral awareness, decision-making processes, and alignment with financial goals and values.

Specific scope, deliverables, duration, session format, and term for your engagement will be detailed in a separate Coaching Agreement executed between you and Behavioral CIO.

2. Term of Services

The term for Services begins on the effective date specified in your Coaching Agreement and continues for the agreed period or until the consultation hours or deliverables are completed, whichever comes first, unless terminated earlier as provided in these Terms or your Agreement.

3. Fees and Payment

Fees for Services, payment schedules, and related terms are outlined exclusively in your individual Coaching Agreement. All fees are non-refundable once Services commence (subject to any specific provisions in your Agreement), and unused hours or deliverables typically expire at the end of the agreed term.

Payments are processed securely through designated methods. You are responsible for any applicable taxes or fees associated with your payments.

4. Your Responsibilities

To maximize the benefits of our Services, you agree to:

  • Actively participate in scheduled sessions, complete any exercises, pre-session work, or required materials.
  • Communicate openly, honestly, and provide accurate information as reasonably requested.
  • Understand that the effectiveness of coaching and advisory services depends significantly on your commitment, effort, implementation, and application of insights gained.
  • For institutional clients, ensure appropriate team participation and access to necessary data or resources.

For Site usage, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any local, state, national, or international law.
  • Interfere with or disrupt the Site or servers/networks connected to it.
  • Attempt to gain unauthorized access to any portion of the Site.

5. Confidentiality

We treat all discussions, materials, data, and information shared during engagements as strictly confidential, except as required by law or with your explicit consent. This includes sensitive personal, financial, family, institutional, or proprietary information. You acknowledge that Services may involve sharing such details, and we will protect your privacy in accordance with applicable laws and professional standards.

6. Disclaimers and Limitation of Liability

  • Not Financial Advice or Investment Management: We are not licensed financial advisors, investment managers, brokers, financial planners, or registered investment advisors. Our Services do not provide personalized financial, investment, tax, legal, or estate planning advice. Any information, insights, tools, or discussions are for educational, coaching, and awareness purposes only, aimed at improving understanding of behavioral patterns, decision-making, and related concepts. You (and your institution, where applicable) remain solely responsible for all financial, investment, and other decisions and outcomes. Consult qualified licensed professionals (e.g., financial advisors, investment managers, tax advisors, attorneys, or other specialists) for specific, personalized recommendations related to investments, taxes, legal matters, or financial planning.
  • Not Therapy or Mental Health Services: We are not licensed therapists, psychologists, counselors, or mental health professionals. Our Services focus on behavioral finance, decision-making patterns, mindset, and related coaching—not diagnosis, treatment, or management of mental health conditions. If you or team members experience significant emotional, psychological, or mental health challenges, seek support from qualified licensed mental health providers.
  • No Guarantees: We make no guarantees, representations, or warranties regarding specific results, outcomes, performance, financial gains, or other benefits from our Services. Success depends on numerous factors beyond our control, including market conditions, your (or your institution’s) efforts, implementation, external circumstances, and more.
  • Your Responsibility: You acknowledge sole responsibility for all actions, decisions, implementations, and outcomes arising from or related to our Services. We assume no liability for your (or your institution’s) choices, results, or consequences.
  • Limitation of Liability: In no event shall Behavioral CIO, its founder, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages—including loss of profits, goodwill, use, data, or other intangible losses—arising out of or in connection with these Terms, the Site, or Services, even if advised of the possibility of such damages. Our total liability to you shall not exceed the total fees paid by you to us under your Coaching Agreement.

The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

8. Entire Agreement

These Terms, together with your executed Coaching Agreement, constitute the entire agreement between you and us regarding the Site and Services, superseding all prior agreements, understandings, negotiations, and discussions, whether oral or written.

9. Amendments

We may amend these Terms at any time by posting the updated version on the Site. Your continued use of the Site or Services after such changes constitutes acceptance. For material changes, we may provide additional notice via email or on the Site.

10. Termination

We may terminate or suspend your access to the Site or Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to us or others. Upon termination, your right to use the Site and Services ceases immediately. Termination does not affect accrued rights or obligations under your Coaching Agreement.
